1. Eligibility
- You must be 18 years or older, have the legal capacity to contract, and present a valid government-issued photo ID.
- A short digital bill of sale is completed for every purchase and kept on file.
2. Ownership & Title — Your Representations and Warranties
For each device you sell or offer to us, you represent, warrant, and certify that:
- You are the sole, lawful owner and have full legal right and authority to sell the device and transfer clear title, free of any lien, loan, lease, security interest, or third-party claim.
- The device is not lost, stolen, counterfeit, or fraudulently obtained, and is not reported to any carrier, manufacturer, insurer, or law-enforcement database as lost, stolen, or blacklisted. The IMEI/serial is clean.
- The device is fully paid off, or you have disclosed any financing, installment plan, or balance owed before payment.
- All activation locks have been removed (Find My iPhone / iCloud, Google / Samsung FRP, and any MDM or enterprise lock) and the device is signed out of all accounts.
- All information you provide about the device and its condition is true and accurate.
- You are not acting on behalf of an undisclosed third party and are not on any government sanctions or denied-parties list.
These representations are material, are relied upon by Sapphire, and survive completion of the sale.
3. Offer, Inspection & Price
- Online quotes are non-binding estimates based on your answers and are valid for 7 days.
- We may inspect the device in person or on arrival. The final price is confirmed after inspection. If the model, storage, carrier status, condition, or IMEI differs from what you described, we will present a revised offer, which you may accept or decline.
- Declined in-person offers cost nothing; declined shipped devices are returned to you free of charge.
4. Payment & Transfer of Title
- Payment is made by cash, Zelle, or Cash App, as agreed.
- Payment is made only after inspection, verification of a clean IMEI, and confirmation that all locks and accounts are removed.
- Title and ownership transfer to Sapphire upon payment. A digital bill of sale is issued.
5. Data — Your Responsibility
- You are solely responsible for backing up and permanently removing all personal data, and for signing out of all accounts (Apple ID, Google, etc.) and removing any SIM/eSIM before delivery.
- We perform a factory reset, but Sapphire is not responsible or liable for any data, accounts, or content remaining on a device. You release Sapphire from any claim arising from data left on a device.
6. Shipping (ship-in sales)
- You are responsible for properly packaging the device. When we provide a prepaid, insured label, transit is covered by that insurance; if you ship by your own method, you bear the risk of loss until we receive the device.
- We inspect on arrival and confirm the final offer. Ship within 7 days to keep your quoted price.
7. Prohibited & Suspect Devices
- We do not buy stolen, lost, blacklisted, counterfeit, or fraudulently obtained devices.
- If a device is later found to be reported lost/stolen, blacklisted, financed, subject to a lien, or otherwise misrepresented, Sapphire may, at its discretion: withhold or reverse payment, retain the device pending resolution, and report the matter and your identification to the carrier, manufacturer, insurer, and/or law enforcement. You consent to such reporting and agree to cooperate.
- Sapphire keeps transaction and identification records and complies with applicable Tennessee and City of Memphis / Shelby County secondhand-goods, recordkeeping, and law-enforcement reporting requirements.
8. Fraud, Reversals & Chargebacks
If you misrepresent a device or its title, or if any payment is later reversed or disputed by you in bad faith, you agree to promptly return the payment and/or the value received, plus any costs we incur, including reasonable attorneys’ fees and collection costs.
9. Indemnification
You shall defend, indemnify, and hold harmless Sapphire Wholesale LLC and its owners, members, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any breach of your representations or this Agreement; (b) any defect in title; (c) any device that is lost, stolen, blacklisted, financed, or subject to a third-party claim; or (d) any data left on a device. This obligation survives indefinitely.
10. Limitation of Liability
To the maximum extent permitted by Tennessee law, Sapphire’s total liability arising out of or relating to any transaction shall not exceed the amount actually paid by Sapphire to you for the device at issue. Sapphire is not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost data or lost profits. Nothing in this Agreement limits liability that cannot be limited under applicable law.
11. Compliance with Law
Both parties agree to comply with all applicable federal, Tennessee, and City of Memphis / Shelby County laws and ordinances governing the purchase and resale of used electronics, including identification and recordkeeping requirements. Sapphire may retain a copy of your ID and the transaction record as required by law.
12. Governing Law, Venue & Dispute Resolution
- This Agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-laws rules.
- The parties will first try to resolve any dispute informally. Any dispute that cannot be resolved shall be brought exclusively in the state or federal courts located in Shelby County, Tennessee, and both parties consent to personal jurisdiction and venue there.
- At Sapphire’s election, a dispute may instead be resolved by binding arbitration in Shelby County, Tennessee, under the rules of the American Arbitration Association.
- Class-action waiver: claims must be brought individually, not as a class or representative action.
- The prevailing party may recover reasonable attorneys’ fees and costs to the extent allowed by law.
13. Electronic Acceptance & Records
You agree that this Agreement may be accepted electronically — by submitting an offer request, registering, shipping a device, or completing a sale — and that such acceptance is legally binding with the same effect as a handwritten signature under the U.S. E-SIGN Act and the Tennessee Uniform Electronic Transactions Act.
14. Entire Agreement; Severability; Changes
- This Agreement, together with our Terms of Service and Privacy Policy, is the entire agreement between the parties on its subject matter and supersedes prior understandings.
- If any provision is held unenforceable, the remainder stays in effect and that provision is modified to the minimum extent necessary.
- Sapphire may update this Agreement; the version in effect at the time of a transaction governs that transaction. The “last updated” date above reflects the current version.
